You will operate a hotel business under the name Waldorf Astoria under a Franchise Agreement with us.
We are a Delaware limited liability company formed in September 2007. We do business under the names “Waldorf Astoria” and ”Waldorf Astoria Hotels & Resorts.” Our principal business address is 7930 Jones Branch Drive, Suite 1100, McLean, VA 22102 and our telephone number is 703-883-1000. We also have a corporate office at 755 Crossover Lane, Memphis, TN 38117.
We became the franchisor of hotels operating under The Waldorf Astoria Collection Brand in the 50 states of the United States of America, its Territories and Possession and the District of Columbia (“US”) on October 24, 2007, and the franchisor of hotels operating under the Waldorf Astoria and Waldorf Astoria Hotels & Resorts Brands in the US on November 16, 2007. We ceased offering franchises under The Waldorf Astoria Collection in 2010, and our affiliate, HLT International Waldorf Astoria Franchise LLC, became the franchisor of Waldorf Astoria hotels for locations in U.S. Territories and Possessions on November 26, 2007.
As of December 12, 2013, our ultimate corporate parent is Hilton Worldwide Holdings, Inc., a Delaware corporation formed in March 2010. Our direct corporate parent is Hilton Franchise Holding LLC, a Delaware limited liability company formed in September 2007. Our indirect corporate parent is Hilton Worldwide, Inc., a Delaware corporation f/k/a Hilton Hotels Corporation that has conducted a guest lodging business since May 1946. HHC was acquired by BH Hotels LLC, a Delaware limited liability company, controlled by investment funds affiliated with The Blackstone Group L.P., a leading global alternative asset manager and provider of financial advisory services in July 2007. HHC changed its name to Hilton Worldwide, Inc., effective December 10, 2009.
Our predecessor is Hilton Inns, Inc., a Delaware corporation incorporated in July 1962. Hilton Inns offered licenses for The Waldorf Astoria Collection hotels from January 2007 to October 24, 2007.
The total investment necessary to begin operation of a 300 room Waldorf Astoria hotel, excluding real property, is $134,460,200 to $646,577,500, including up to $379,400 that must be paid to us or our affiliates.
