Waldorf Astoria Hotels FDD Summary

We became the franchisor of hotels operating under The Waldorf Astoria Collection Brand in the 50 states of the United States of America, its Territories and Possession and the District of Columbia (“US”) on October 24, 2007, and the franchisor of hotels operating under the Waldorf Astoria and Waldorf Astoria Hotels & Resorts Brands in the US on November 16, 2007. We ceased offering franchises under The Waldorf Astoria Collection in 2010, and our affiliate, HLT International Waldorf Astoria Franchise LLC, became the franchisor of Waldorf Astoria hotels for locations in U.S. Territories and Possessions on November 26, 2007.

As of December 12, 2013, our ultimate corporate parent is Hilton Worldwide Holdings, Inc., a Delaware corporation formed in March 2010. Our direct corporate parent is Hilton Franchise Holding LLC, a Delaware limited liability company formed in September 2007. Our indirect corporate parent is Hilton Worldwide, Inc., a Delaware corporation f/k/a Hilton Hotels Corporation that has conducted a guest lodging business since May 1946. HHC was acquired by BH Hotels LLC, a Delaware limited liability company, controlled by investment funds affiliated with The Blackstone Group L.P., a leading global alternative asset manager and provider of financial advisory services in July 2007. HHC changed its name to Hilton Worldwide, Inc., effective December 10, 2009.

Our predecessor is Hilton Inns, Inc., a Delaware corporation incorporated in July 1962. Hilton Inns offered licenses for The Waldorf Astoria Collection hotels from January 2007 to October 24, 2007.
