SUPERCUTS was incorporated under the laws of the state of Delaware on July 9, 1987, and is a wholly owned subsidiary of Regis Corporation, a Minnesota corporation (“Regis”). The predecessor of SUPERCUTS, EMRA Corporation, was incorporated in California on September 1, 1976. The sole subfranchisor of EMRA Corporation, DION Corporation, was incorporated in California on December 24, 1980. EMRA’s predecessor in interest was a California general partnership, originally formed on October 1, 1975. The partners of this general partnership were Geoffrey M. Rappaport and Frank E. Emmett, who were the sole shareholders of EMRA Corporation. On September 1, 1976, the respective interests of Geoffrey M. Rappaport and Frank E. Emmett in the partnership were transferred to EMRA Corporation.
